TREIF interests are digital representations of ownership in Tokenized Real Estate Investment Funds managed by American Digital Realty LLC. Each fund holds its investments through dedicated limited liability companies, and an investor holds an interest in the fund rather than a direct claim on any individual property. Interests are offered exclusively to verified accredited investors under Regulation D Rule 506(c) of the Securities Act of 1933.

TREIF interests have not been registered under the Securities Act of 1933, as amended (the “Act”), or the securities laws of any state or foreign jurisdiction. They may not be offered, sold, or transferred in the United States or to U.S. persons unless pursuant to an available exemption from registration.

While tokenization may facilitate future peer-to-peer transfers or potential secondary market access following the one-year lock-up period under Rule 144, liquidity is not guaranteed. The ability to buy, sell, or transfer TREIF interests depends on evolving securities regulations, integration with compliant alternative trading systems (ATS), and the availability of necessary infrastructure. There is no assurance that a liquid market will develop or that holders will be able to exit their position.

TREIF interests are recorded and managed within American Digital Realty’s secure digital platform. They are not currently transferable to external wallets or self-custody environments. If access credentials are lost, ownership can typically be recovered or reissued, subject to identity verification and compliance procedures. Investors are responsible for protecting their login credentials and account access.
