Terms of Service

These terms govern your use of the American Digital Realty website and investor platform. By using either, you accept them.
1. Who We Are
American Digital Realty LLC (“ADR”, “we”, “us”, or “our”) operates this website and the investor platform on which our Tokenized Real Estate Investment Funds (“TREIFs”) are administered. ADR is an Exempt Reporting Adviser under the Investment Advisers Act. It is not a fully registered investment adviser and is not registered with the SEC as such.
2. Nothing Here Is an Offer or Advice
The content on this website is provided for information only. It is not an offer to sell or a solicitation of an offer to buy any security, and it is not investment, tax, legal, accounting, regulatory, or compliance advice. Any offering is made solely through the offering documents provided to verified accredited investors, and those documents govern in the event of any conflict with this website.
3. Eligibility
Interests in ADR funds are offered under Regulation D, Rule 506(c) of the Securities Act of 1933 to accredited investors only. You may create an account to review materials, but you may not subscribe to a fund until your accredited investor status has been verified through the platform. You must be at least 18 years old and legally able to enter into a binding agreement.
4. Your Account
You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that takes place under your account. Tell us promptly if you believe your account has been accessed without your authorisation. We may suspend or close an account where we reasonably believe it is being used unlawfully, where verification cannot be completed, or where we are required to do so.
5. Identity and Accreditation Verification
As part of onboarding we collect identity and accreditation information, and we may use third-party verification providers. Verification is a condition of investing, not of browsing. How this information is handled is set out in our Privacy Policy.
6. Holding and Transferring Interests
Fund interests are recorded and administered within our platform. They are not currently transferable to external wallets or self-custody environments. Interests held by U.S. investors are subject to a one-year lock-up under Rule 144, and any transfer after that period remains subject to applicable securities laws and to our transfer procedures. Liquidity is not guaranteed, and no assurance is given that a secondary market will exist.
7. Distributions, Reporting and Targets
Distribution schedules, target returns and preferred returns are described on each fund’s page and in its offering documents. Targets are objectives, not promises. There can be no assurance any fund will achieve them, actual results may differ materially, and you may lose capital. Past performance is not indicative of future results.
8. Accuracy of Information
We take care over the information published here, including performance and portfolio data drawn from our own records and from underlying managers. We cannot guarantee that all of it is complete, current, or free from error, particularly where it originates with third parties. Figures are as at the date stated alongside them.
9. Intellectual Property
The website, its content, and ADR’s names, logos and marks belong to ADR or its licensors. You may view and print material for your own use in evaluating an investment. You may not otherwise reproduce, republish, or exploit it commercially without our written permission.
10. Acceptable Use
Do not use this website or the platform unlawfully, attempt to gain unauthorised access to any part of it, interfere with its operation, scrape it by automated means, or submit information you know to be false.
11. Third-Party Links and Providers
We link to third-party sites and rely on third-party providers for identity verification, payments, custody and fund administration. We are not responsible for the content or conduct of third parties, and their own terms and privacy practices apply to your dealings with them.
12. Limitation of Liability
To the fullest extent permitted by law, ADR is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or investment losses, arising from your use of this website or the platform. Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud.
13. Changes to These Terms
We may update these terms from time to time. The effective date above records when the current version took effect. Continuing to use the website or platform after a change means you accept the revised terms.
14. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules.
